Terms and Conditions of Service

Welcome to admitnation.ai, a platform operated by IES. These Terms and Conditions ("Terms") constitute a legally binding agreement between you, the User (including Students, Recruitment Partners, and Institutions, as defined herein), and IES, regarding your access to and use of the admitnation.ai website, including all content, services, features, and products provided by or through admitnation.ai (collectively, the "Platform"). This document is designed to protect your rights and govern your obligations in a multi-sided educational consultancy environment. By accessing, browsing, registering for, or otherwise utilizing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are unable to agree to all the Terms and Conditions set forth in this agreement, you are expressly prohibited from accessing the Platform and must discontinue use immediately. These Terms shall remain in full force and effect while you use the Platform.


1. Definitions

  • Platform: Refers to the admitnation.ai website, mobile applications, and all associated services, interfaces, and technological tools operated by IES, designed to facilitate educational placement.
  • IES/We/Us/Our: Refers to IES and its parent company, subsidiaries, affiliates, successors, and assigns, as the owner and operator of the Platform.
  • User/You/Your: Refers to any individual, company, or entity accessing, browsing, registering for, or utilizing the Platform's services.
  • Student: An individual User seeking guidance, program discovery, comparative analysis, application submission support, and seamless educational placement services.
  • Recruitment Partner (Partner): An entity or individual User that has executed a valid Partner Agreement with IES for the purpose of connecting Students with Institutions and earning commission-based revenue.
  • Institution: An educational body User (e.g., University or College) that has formally partnered with IES to promote its programs, utilize the consultant network, and manage prospective Student data via the Platform.
  • User Content: Any data, information, text, images, videos, audio, academic records (including transcripts and test scores), financial documents, or other materials submitted, uploaded, transmitted, or displayed by You on the Platform.
  • Partner Agreement: The separate, formal written agreement executed between IES and the Recruitment Partner governing the partnership.

  1. Acceptance and Purpose

2.1 Acceptance of Terms

The Platform is offered to you conditionally upon your acceptance without modification of all the terms and conditions contained herein. This acceptance includes the incorporation by reference of the Privacy Policy, the Partner Agreement (if applicable), and all other operating rules or policies published on this site. By continuing to use the Platform after the effective date, you confirm your legally binding agreement to these Terms.

2.2 Purpose of Platform

The primary and exclusive purpose of the Platform is to provide a unified, transparent, and data-driven digital environment to facilitate efficient, ethical, and collaborative interactions between Students, Recruitment Partners, and Institutions for the specific goal of international education placement, recruitment management, and related administrative services.

2.3 Use to be in Conformity with the Purpose

You covenant that your access and use of the Platform must be strictly and exclusively in conformity with its intended educational placement purpose. This includes maintaining the highest standards of integrity, professional conduct, and ethical behavior in all communications and transactions conducted through the Platform. Any misuse, unauthorized commercial use, or use that violates statutory laws, regulatory guidelines, or third-party rights is grounds for immediate termination.


3. Eligibility and Account Registration

3.1 Eligibility

You represent and warrant that you are at least 18 years of age and legally capable of forming a binding contract. Where you are an entity (Partner or Institution), you represent that you are duly organized, validly existing, and in good standing under the laws of your jurisdiction, and the individual executing these Terms possesses the full authority to bind the entity. IES reserves the right to require documentation proving age, identity, or organizational status.

3.2 User Types and Accounts

The Platform supports three distinct, primary user roles. You are solely responsible for accurately identifying and registering under the correct user type. Switching roles or accessing data designated for a different user type without explicit IES permission is prohibited.

3.3 Registration and Account Obligations

  • Accuracy: You shall provide, and continuously update to maintain, accurate, truthful, and complete registration and profile information (including academic credentials, business licenses, and contact details).
  • Security: You are solely responsible for safeguarding the confidentiality and security of your account password and access credentials. You must notify IES immediately upon discovering any unauthorized use of your account. IES shall not be liable for any losses or damages resulting from compromised credentials due to your negligence.
  • Vetting: For Partners and Institutions, IES reserves the absolute right to conduct verification, background checks, and periodic compliance audits to assess ethical standing, accreditation status, and data security adherence. Failure to pass or comply with any vetting requirement may lead to refusal of service.

4. Use of Platform and Restrictions

4.1 Use of Platform (Prohibited Conduct)

You shall not, and shall not permit any third party to, use the Platform to:

  • Circumvent or attempt to circumvent any fee structures, or intentionally bypass the Platform to conduct transactions directly with another User type to avoid commissions or fees owed to IES.
  • Upload, transmit, or introduce any malware, viruses, Trojan horses, or any code designed to interrupt, destroy, or limit the functionality of the Platform or its data.
  • Engage in any form of 'screen scraping,' data mining, automated data extraction, or use bots, spiders, or similar means to aggregate data without prior explicit written consent from IES.
  • Impersonate any person or entity, misrepresent your identity or affiliation, or engage in deceptive or misleading practices in recruitment or application processes.
  • Use the Platform to transmit unsolicited advertising, promotional materials, commercial solicitations, or 'spam' to any Student or other User.
  • Disclose, share, or transfer your login credentials or account access to any unauthorized third party.

4.2 Restriction Regarding Materials (User Content)

  • License Scope: You grant IES and its affiliated Institutions and Partners a necessary, worldwide, perpetual, irrevocable, sublicensable, and royalty-free license to use, reproduce, modify, distribute, and display your User Content solely for the purpose of providing, improving, analyzing, and promoting the Platform's educational services.
  • Warranties: You covenant that your User Content is original or that you have all necessary rights, licenses, and consents to grant the license above, and that it will not infringe upon the intellectual property rights, privacy rights, or publicity rights of any third party, nor be defamatory, unlawful, harassing, or harmful.
  • Monitoring: IES reserves the right (but not the obligation) to monitor, review, screen, and remove any User Content that violates these Terms or is otherwise objectionable, at its sole discretion, without liability.

5. Platform Services and Responsibilities

5.1 For Students (Guidance and Matching)

  • IES provides comparative information and matching services based on the academic information and preferences provided by You and the data submitted by Institutions. IES explicitly does not guarantee admission, visa approval, or financial aid/scholarship availability for any Institution or program.
  • You acknowledge that admission decisions, acceptance criteria, fee changes, and scholarship offerings are the sole prerogative of the respective Institution. IES acts as a facilitator, not a decision-maker.

5.2 For Recruitment Partners (Onboarding and Commission)

  • You agree that your commercial relationship and the receipt of any commissions or rewards are strictly governed by the separate Partner Agreement.
  • You must comply with all ethical and regulatory standards applicable to student recruitment in your operating jurisdiction and the destination country of the Institution. IES reserves the right to audit your compliance and immediately suspend or terminate access upon proven violation of the Partner Agreement or these Terms.

5.3 For Institutions (Data Management and Marketing)

  • You bear the sole and exclusive responsibility for the accuracy, validity, and timeliness of all program data, fee structures, accreditation status, and application requirements submitted to the Platform.
  • You warrant that any Student data obtained via the Platform will be utilized exclusively for admission, enrollment, and legitimate educational purposes, in strict compliance with all applicable data protection and privacy laws (e.g., FERPA, GDPR, Indian IT Rules). You indemnify IES against any third-party claims arising from your use of Student data.

6. Fees, Payment, and Taxes

6.1 Payment Terms

  • Students: Access to core features is free of charge. Fees for explicitly marked premium services (e.g., expedited application review or bespoke counseling) are due upon purchase and are non-refundable unless otherwise stipulated in the specific service agreement.
  • Recruitment Partners & Institutions: Fees (subscription fees, service fees, and commissions owed to IES) are governed by separate, mutually executed agreements. All payments must be made promptly according to the invoice terms. IES reserves the right to suspend services for outstanding or overdue payments.

6.2 Taxes

You shall be exclusively responsible for the assessment, calculation, reporting, and payment of all federal, state, local, and foreign taxes, duties, levies, and withholdings, including but not limited to sales, use, value-added, goods and services, or similar taxes, associated with your activities on the Platform, including the receipt of commissions or services purchased. You agree to indemnify IES against any tax liability arising from your failure to meet these obligations.


7. Privacy and Data Protection

7.1 Privacy

The collection, use, processing, and disclosure of your personal information through the Platform is governed by our dedicated Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you acknowledge and consent to the data practices described therein.

7.2 Data Protection Amendment

You acknowledge and explicitly agree that IES will process personal data, which may involve cross-border transfers (to Institutions and Partners globally) and systematic sharing between the three user types, solely for the purpose of fulfilling the educational placement services, in compliance with all relevant data protection frameworks. IES will endeavor to maintain appropriate technical and organizational security measures.


8. Children's Privacy

Our Platform is specifically designed for the professional interaction between adults (Students aged 18+, Partners, and Institutions). Consequently, the Platform is not directed to, nor does it knowingly collect Personal Identifiable Information from, individuals under the age of 16. If we become aware that we have inadvertently collected Personal Data from a child under 16 without documented, verifiable parental consent, we will take immediate and decisive steps to securely delete that information from our servers.


9. Intellectual Property (IP)

9.1 Your Content License

You grant IES a worldwide, perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, and publicly display your User Content solely for the purpose of operating, improving, analyzing, and promoting the Platform and its educational services.

9.2 Platform Content Ownership

All proprietary content, visual interfaces, graphics, design, compilation, information, computer code (including source code and object code), products, software, services, and all other elements of the Platform are the exclusive property of IES or its licensors and are protected by copyright, trademark, and patent laws.

9.3 License Disclaimer

Nothing in these Terms shall be construed as conferring any license to any intellectual property rights of IES or any third party, whether by estoppel, implication, or otherwise, beyond the limited right to access and use the Platform strictly as expressly granted herein.

9.4 Feedback and Suggestions

If you provide IES with any unsolicited feedback, suggestions, or ideas regarding the Platform ("Feedback"), you hereby assign to IES all right, title, and interest in and to such Feedback. You acknowledge that IES is free to use, incorporate, or implement such Feedback for any purpose without any obligation, restriction, or compensation to you.


10. Disclaimers

10.1 Disclaimer of Warranty

The Platform is provided strictly on an "as is," "where is," and "as available" basis, with all faults. IES explicitly disclaims and excludes all warranties of any kind, whether statutory, express, or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising out of course of dealing, usage, or trade. IES does not warrant that the Platform will meet your requirements or expectations.

10.2 Content and Liability Disclaimer

IES acts merely as a technological intermediary. We do not audit, endorse, or guarantee the accuracy, completeness, or integrity of User Content (e.g., Student academic records) or Institution Content (e.g., accreditation claims, program quality). IES disclaims all liability for any errors, omissions, or misrepresentations made by any User type. Your reliance on any information obtained through the Platform is entirely at your own risk.

10.3 Disclaimer for Websites That We Link To

The Platform may contain links or connections to third-party websites or resources. IES has no control over, and assumes no responsibility for, the content, accuracy, functionality, privacy policies, security practices, or availability of such external sites or resources. IES does not endorse the products or services offered by these third parties.

10.4 Disclaimer of Online Availability, Impressions, and Click-Through

IES does not warrant or guarantee that the Platform will be free from temporary disruptions, failures, or errors. IES is not responsible for losses due to Platform downtime, network interruptions, loss of data, or any specific volume of impressions, placements, or click-through conversions experienced by Partners or Institutions.

10.5 Purchasing and Ordering Disclaimer

All financial transactions for services, application fees, or products processed through the Platform are handled by external, third-party payment processors. IES is not liable for technical failure, security breaches, errors, or disputes arising from the operation of these external payment systems. You must review and agree to the terms and conditions of the respective payment processor.


11. Responsibility and Indemnification

11.1 Your Responsibility and Damage Limits

You shall be fully responsible for all costs, liabilities, and damages arising from your failure to comply with these Terms, applicable laws, or any executed agreement with a third party (including Institutions and Partners). You agree to take all reasonable measures to mitigate any potential damages.

11.2 Indemnification

You agree to indemnify, defend, and hold harmless admitnation.ai (IES), its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising out of or related to: (i) your breach of any term, representation, or warranty of these Terms; (ii) your User Content; (iii) your fraudulent, negligent, or willful misconduct; or (iv) your use of the Platform in violation of any law or third-party rights.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, in no event shall IES, its affiliates, suppliers, or licensors be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages (including, but not limited to, loss of profits, revenue, data, opportunity, or goodwill), whether based on warranty, contract, tort (including negligence), or any other legal theory, even if IES has been advised of the possibility of such damages. The total aggregate liability of IES to you for all claims arising under or relating to these Terms, the Platform, or the services, shall in no event exceed the amount actually paid by you to IES for the specific services giving rise to the claim in the twelve (12) months immediately preceding the date the claim arose.


12. Termination and Governing Law

12.1 Termination/Suspension

IES reserves the right to terminate or suspend your access to the Platform, immediately and without prior notice, for any reason, including but not limited to: breach of these Terms, non-payment of fees, engagement in fraudulent or unethical conduct, or extended inactivity.

12.2 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Any accrued obligations and the sections related to Definitions, IP, Disclaimers, Indemnification, Liability, and Governing Law shall survive termination. IES shall not be liable to you or any third party for the consequences of termination.

12.3 Governing Law and Jurisdiction

These Terms and your use of the Platform shall be governed and construed in accordance with the substantive laws of India, without regard to its conflict of law principles.

12.4 Local Laws

You are solely responsible for compliance with all applicable local laws, regulations, and statutes regarding your use of the Platform, including compliance with any data residency, import/export regulations, and marketing laws in your operating jurisdiction.

12.5 Dispute Settlement

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, breach, or termination thereof, shall be referred to and finally resolved by binding arbitration in accordance with the rules of the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a single arbitrator appointed in accordance with the rules. The seat and venue of arbitration shall be New Delhi, India, and the language of the proceedings shall be English. The costs of arbitration shall be borne equally by the parties, unless the arbitrator determines otherwise.


13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Partner Agreements, constitute the entire agreement between you and IES concerning your use of the Platform, superseding all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

13.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect and enforceable.

13.3 Assignment and Delegation

You may not assign or delegate any of your rights or obligations under these Terms without the prior written consent of IES. IES may assign or delegate these Terms without restriction or notice, particularly to an affiliate or successor in interest.

13.4 Amendment to These Terms

IES reserves the right, at its sole discretion, to modify or replace these Terms at any time. For material changes, IES will provide reasonable advance notice (e.g., via email or Platform notification) before the changes take effect. Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the changes.

13.5 Availability of Services

IES reserves the right to modify, suspend, or permanently discontinue the Platform (or any part or feature thereof) at any time, with or without notice, and IES shall not be liable to you or any third party for the exercise of this right.
